TERMS OF SERVICE

  1. Acceptance of Terms
    Welcome to Haven Co. Wholesale ("Haven Co.," "we," "us," or "our"). By accessing our website, applying for a wholesale account, or placing an order, you ("Buyer," "Retailer," or "User") agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Haven Co. If you do not agree, you may not use our services.

  2. Wholesale Account Eligibility

    • Business Use Only: Services are strictly for business entities purchasing goods for resale. By creating an account, you represent that you are a valid business entity with a Federal Tax ID (EIN) and/or Resale Certificate (no cosmetology/esthetician license needed).

    • Right to Refuse: Haven Co. reserves the right to approve, deny, or terminate any wholesale account at our sole discretion, for any reason, including but not limited to suspicion of diverting goods or violation of these terms.

  3. Ordering, Pricing, & Payment

    • Minimum Order Value (MOV): A minimum subtotal of $250.00 is required for all orders. Orders below this threshold will not be processed.

    • Pricing: Wholesale prices are confidential and for verified partners only. Prices are subject to change without notice. We are not responsible for typographical errors regarding price or availability.

    • Payment: Payment is due at checkout via Credit Card, Debit Card, or PayPal.

    • Net Terms: Net 30 or Net 60 terms are extended solely at Haven Co’s discretion to established partners and may be revoked at any time. Late payments on Net Terms will incur a 1.5% monthly interest charge or the maximum allowed by law.

  4. Shipping, Risk of Loss, & Freight

    • FOB Origin: Unless otherwise agreed in writing, all shipments are FOB (Free on Board) Origin. This means title and risk of loss pass to the Buyer the moment we transfer the goods to the shipping carrier. Haven Co. is not liable for lost, stolen, or damaged packages once they leave our facility.

    • Shipping Costs:

      • Standard orders are calculated at checkout.

      • Bulk/Freight orders over $1,000 may require custom quotes calculated after order placement. The Buyer is responsible for all freight charges unless a "Free Shipping" promotion is explicitly applied.

    • Delivery Estimates: The "3-5 day" shipping window is an estimate, not a guarantee. Haven Co. is not liable for lost profits or damages caused by carrier delays.

  5. Reselling & Marketplace Compliance (Amazon/Walmart)

    • No Authorization Letters: Haven Co. provides generic wholesale invoices. We DO NOT provide brand-specific "Letters of Authorization" (LOA) or assist with "ungating" restricted brands on Amazon, Walmart, or other third-party marketplaces.

    • Buyer Responsibility: It is the Buyer’s sole responsibility to verify their eligibility to sell specific brands on third-party platforms before purchasing. Returns are not accepted due to marketplace restrictions or account suspensions.

    • Intellectual Property: You acknowledge that purchasing products from Haven Co. does not grant you rights to the intellectual property (logos, trademarks) of the brands we distribute beyond standard fair use for resale.

  6. Product Representations & Disclaimers

    • "As Is" Condition: All products are sold "as is" in their original manufacturer packaging.

    • No Regulatory Warranty: While we strive to source compliant products, Haven Co. makes no warranty, express or implied, that all products meet specific local FDA labeling requirements (e.g., English-only ingredient lists) or are certified for specific international markets. The Buyer assumes all responsibility for ensuring products comply with local laws where they are sold.

    • Freshness: We guarantee a minimum 12-month shelf life upon shipment unless items are marked as "Closeout" or "Short-Dated."

  7. Returns, Refunds, & Disputes

    • All Sales Final: Due to the nature of health and beauty products, all wholesale sales are final. We do not accept returns for unsold inventory or "change of mind."

    • Damages/Defects: You must inspect all shipments immediately. Claims for damaged, missing, or incorrect items must be made via email to partners@havencowholesale.com within 7 days of delivery. Failure to report within this window constitutes acceptance of the goods.

    • Restocking Fee: Any unauthorized returns or refused shipments will be subject to a 25% restocking fee plus return shipping costs.

  8. Limitation of Liability

    • Cap on Damages: In no event shall Haven Co, its officers, directors, founders, employees, or agents be liable for any indirect, special, incidental, or consequential damages (including lost profits, loss of goodwill, or data loss).

    • Maximum Liability: To the fullest extent permitted by law, Haven Co's total liability for any claim arising out of these terms or the products sold shall not exceed the total amount paid by the Buyer for the specific order giving rise to the claim.

  9. Indemnification

    You agree to indemnify, defend, and hold harmless Haven Co. and its affiliates, officers, and founder from any claims, liabilities, damages, and expenses (including legal fees) arising from:

    • Your resale or use of the products.

    • Your violation of any third-party rights (including brand IP).

    • Your violation of these Terms or applicable laws.

  10. Governing Law & Dispute Resolution

    These Terms shall be governed by the laws of the State of California. Any dispute arising under these terms shall be resolved exclusively through binding arbitration in Orange County, California, waiving any right to a trial by jury or class action lawsuit.
